These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Serendly SAS ("Company", "we", "us", or "our"), concerning your access to and use of the serendly.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site"). We are registered in France and have our registered office at 41 rue de la grange aux belles, Paris 75010. You agree that by accessing the Site, you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND YOU MUST DISCONTINUE USE IMMEDIATELY.
Supplemental terms and conditions or documents that may be posted on the Site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use from time to time. We will alert you about any changes by updating the "Last updated" date of these Terms of Use, and you waive any right to receive specific notice of each such change. Please ensure that you check the applicable Terms every time you use our Site so that you understand which Terms apply. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the Site after the date such revised Terms of Use are posted.

The Site is hosted in France. By accessing it from elsewhere, you consent to the transfer of your data to and processing in France.

We reserve the right, in our sole discretion and without notice, to deny access to and use of the Site to any person for any reason, including breach of these Terms or any applicable law. We may terminate your use or participation at any time, without warning.
We reserve the right to change, modify, or remove the contents of the Site at any time at our sole discretion. We cannot guarantee the Site will be available at all times and shall not be liable for any loss, damage, or inconvenience caused by inability to access or use the Site during any downtime.
These Terms are governed by and interpreted under the laws of France. Serendly SAS and yourself both agree to submit to the non-exclusive jurisdiction of the courts of Paris. If you are an EU consumer, you keep the protection afforded to you by mandatory provisions of the law of your country of residence.
The parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration. Any dispute that cannot be resolved informally shall be decided by one arbitrator under the Rules of the European Court of Arbitration, seated in Strasbourg. The seat of arbitration shall be Paris, France; the language of the proceedings shall be French; the substantive law shall be the law of France. Disputes concerning intellectual property rights, allegations of piracy, or claims for injunctive relief are excluded from this clause.
There may be information on the Site that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and update the Site at any time without notice.
THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SITE AND YOUR USE THEREOF, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION.
You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, arising out of (1) your use of the Site, (2) your breach of these Terms, (3) any breach of your representations and warranties, or (4) your violation of third-party rights.
We will maintain certain data that you transmit to the Site for the purpose of managing performance. While we perform regular backups, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site.
Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, and other communications we provide to you electronically satisfy any legal requirement that such communication be in writing.
These Terms and any policies or operating rules posted on the Site constitute the entire agreement between you and us. Our failure to exercise or enforce any right or provision shall not operate as a waiver. We may assign any or all of our rights and obligations to others at any time. If any provision is found unlawful, void, or unenforceable, it is severable from these Terms and does not affect the validity of remaining provisions.
